Wiley to Acquire Jossey-Bass From Pearson

William J. Pesce, President and Chief Executive Officer of John Wiley & Sons, Inc., have announced that Wiley has signed an agreement to purchase the San-Francisco-based publisher, Jossey-Bass, from Pearson. The acquisition, which is subject to Hart Scott Rodino review, is expected to close within 60 days. The purchase price will approximate $82 million in cash.

"Like Wiley, Jossey-Bass has a strong reputation as a publisher of highly regarded professional books and journals. Their publishing programs will solidify our positions in key markets. We look forward, with enthusiasm, to collaborating with the Jossey-Bass team," said Mr. Pesce.

"The acquisitions of Jossey-Bass and the higher education titles from Pearson (announced on May 11) are superb opportunities for Wiley to strengthen our market positions and leverage our infrastructure in core business areas," explained Mr. Pesce. "Over the past decade, Wiley has gained market share and improved operating margins consistently. These acquisitions will allow us to continue to deliver quality content to our customers, while increasing shareholder value."

Jossey-Bass, which was founded in 1967, is a publisher of books and journals for professionals and executives, primarily in the areas of business, psychology, and education/health management. Jossey-Bass has important publishing relationships with the Peter F. Drucker Foundation, the Center for Creative Leadership, and Booz Allen Hamilton. They published more than 200 titles in 1998.


Big Entertainment and Hollywood.com Announce Content Delivery to Handheld Computer Users

Big Entertainment and its new subsidiary hollywood.com, Inc. (which owns Hollywood.com) have announced that Hollywood.com has been named a strategic partner for the AvantGo.com interactive Internet service, placing content from the popular movie website into the palms of handheld computer users. Hollywood.com is part of AvantGo.com's lineup of free personalized content and interactive applications available to users of Palm OS and Windows CE-based handheld computers.

Currently, handheld computer users who select Hollywood.com from the AvantGo.com site are able to determine where and when movies are playing nationwide. Hollywood.com plans to add additional movie information, such as film synopses and reviews, and e-commerce applications such as movie ticketing and merchandise sales to its AvantGo.com offerings.


New World Publishing Acquires Communications Television, Inc.

As of May 18, 1999, New World Publishing, Inc. has entered into an Agreement and Plan Of Reorganization, whereby all of the outstanding shares of common stock of Communications Television, Inc. were exchanged for a total of 19,020,167 shares of the New World Publishing, Inc. with Communications Television, Inc. becoming a wholly-owned subsidiary of New World Publishing, Inc.

Pending the shareholders' approval, the Company intends to change its name from "New World Publishing, Inc." to "Sonicport.com, Inc.," which name the Company has reserved for its use. Sonicport.com will offer Internet access to consumers and businesses in 96 major U.S. cities via a local dial-up through its network of third party "points of presence" or POP sites. The company has also utilized the latest in technology to develop and create a monthly recurring club platform to launch various subscriber-based projects.

Depending on the project, a Web-based community will be developed with access to the Internet provided to members by the Company. Sonicport.com will develop virtual communities through Internet portals, attracting large audiences linked by similar business, ethnic, leisure and spiritual interests.
