MediaBay, Inc., a provider of spoken word audio content, and Books-A-Million, Inc., a book retailer, have announced the signing of a digital distribution and marketing agreement. The agreement covers the promotion and marketing of each other in a myriad of formats, venues and markets.

Under the terms of the agreement, MediaBay, Inc. will be the exclusive supplier of spoken audio content on Booksamillion.com. In addition to providing its content on Booksamillion.com, MediaBay will also be the provider of spoken audio content at Books-A-Million stores via interactive kiosks and digital download appliances. Booksamillion and MediaBay will also work together to launch a Booksamillion/MediaBay co-branded Audio Book Club and will create an audio imprint for distribution in both hard goods and digital downloads of previously published and original print manuscripts.

``Books-A-Million is the largest book retailer in the Southeastern United States and the third largest book retailer in the nation. Our relationship with Books-A-Million has been excellent, and now the future looks even brighter. We believe Books-A-Million truly understands the future of premium spoken word audio content on the Internet and the huge potential for digital downloads,'' said Michael Herrick, Chief Executive Officer of MediaBay, Inc.

``We have enjoyed working with MediaBay and are very excited about expanding our relationship with them. MediaBay is truly unique because it combines the technological expertise and vision of a true Internet success with a strong offline presence and business. The combination of their content and capabilities for digital downloads with their customer base of 2.5 million customers makes MediaBay unique. We are proud to have them as a Books-A-Million trusted and preferred partner,'' stated Terrance G. Finley, President of Booksamillion.com.
